These Terms and Conditions (“Terms”) govern the use of the website operated by FcMig (UK) Limited (“we”, “us”, or “the Company”) and the provision of our construction, maintenance, and infrastructure services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our website or services.

2. Services

FcMig (UK) Limited provides specialist construction, fit-out, refurbishment, and maintenance services for supply chain infrastructure, including warehouses, distribution centres, and sorting facilities. The specific scope of services for any project shall be detailed in a separate written quotation, proposal, or contract agreed between the parties.

The information provided on our website is for general informational purposes only and does not constitute an offer or a binding commitment. All services are subject to availability and our acceptance of your order or instruction.

3. Quotations and Estimates

All quotations provided by FcMig (UK) Limited are valid for a period of thirty (30) days from the date of issue, unless otherwise stated in writing. Quotations are based on the information available to us at the time of preparation and may be subject to adjustment should the scope of works change or additional requirements become apparent during the course of the project.

Estimates provided for budgetary purposes are indicative and do not constitute a fixed price. A formal quotation will be issued following a detailed survey or assessment of the works required.

4. Payment Terms

Unless otherwise agreed in writing, payment terms are thirty (30) days from the date of invoice. For larger projects, staged payments may be agreed based on project milestones, as detailed in the relevant contract or quotation.

We reserve the right to charge interest on overdue payments at a rate of 8% above the Bank of England base rate, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. We also reserve the right to suspend works in the event of non-payment.

5. Online Purchases & Digital Products

In addition to our construction and engineering services, FcMig (UK) Limited offers digital products for purchase through our online shop at fcmig.com/shop. The following terms apply to all online purchases.

5.1 Order Process. By placing an order through our website, you are making an offer to purchase the selected product(s). A binding contract is formed when we confirm your order by sending an order confirmation email and making the digital product available for download. All prices are displayed in British Pounds (GBP) and include VAT where applicable.

5.2 Payment. Payment for online purchases must be made in full at the time of order using the payment methods available at checkout. All payments are processed securely by Stripe, our PCI-DSS Level 1 certified payment processor. We reserve the right to refuse or cancel any order where payment cannot be verified or where we suspect fraudulent activity.

5.3 Pricing. We make every effort to ensure that pricing on our website is accurate. In the event of a pricing error, we will notify you before processing your order and give you the option to proceed at the correct price or cancel your order for a full refund.

6. Digital Delivery & Licence

6.1 Delivery. All digital products are delivered electronically. Upon successful payment, a download link will be provided immediately on the order confirmation page and via email. Please refer to our Delivery Policy for full details.

6.2 Licence Grant. Upon purchase, you are granted a non-exclusive, non-transferable licence to use the digital product for your personal or single-business use only. This licence does not permit redistribution, resale, sublicensing, or making the product available to third parties without our prior written consent.

6.3 Restrictions. You may not copy, reproduce, modify, distribute, publicly display, or create derivative works from any digital product purchased from our shop, except as expressly permitted under this licence or applicable law. Unauthorised use may result in revocation of your licence and access to the product.

6.4 Access Revocation. FcMig reserves the right to revoke access to digital products in cases of breach of these terms, fraudulent transactions, or chargeback disputes filed without prior contact with our team.

7. Refunds & Dispute Resolution

7.1 Refund Policy. Due to the nature of digital products, refunds are generally not available once a product has been delivered. Refund requests are considered on a case-by-case basis in accordance with our Refund Policy. Eligible circumstances include file corruption, duplicate charges, and products materially different from their description.

7.2 Dispute Resolution. If you are dissatisfied with a product or service, we encourage you to contact us at sales@fcmig.com before initiating a formal dispute or chargeback with your bank. We are committed to resolving concerns promptly and fairly.

7.3 Statutory Rights. Nothing in these terms affects your statutory rights under the UK Consumer Rights Act 2015. Where digital content is faulty, not as described, or not fit for purpose, you retain all rights to a repair, replacement, or refund as provided by law.

8. Limitation of Liability

To the fullest extent permitted by law, FcMig (UK) Limited shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of revenue, loss of data, or business interruption, arising out of or in connection with the use of our website or the provision of our services.

Our total aggregate liability in respect of any claim arising out of or in connection with our services shall not exceed the total fees paid by you for the specific services giving rise to the claim. Nothing in these Terms shall exclude or limit our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.

9. Intellectual Property

All content on this website, including but not limited to text, images, graphics, logos, and design elements, is the intellectual property of FcMig (UK) Limited or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content on this website without our prior written consent.

Any designs, drawings, specifications, or other documents prepared by FcMig (UK) Limited in connection with a project remain our intellectual property unless expressly assigned to the client in writing as part of a separate agreement.

10. Termination

Either party may terminate a service agreement by providing written notice in accordance with the terms specified in the relevant contract. In the absence of specific termination provisions, either party may terminate by providing thirty (30) days’ written notice.

We reserve the right to terminate or suspend services immediately if: (a) payment is not received in accordance with agreed terms; (b) the client is in material breach of these Terms or any project-specific agreement; or (c) circumstances arise that make continued performance impracticable or unsafe. Upon termination, the client shall pay for all work completed up to the date of termination.

11. Governing Law and Jurisdiction

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
